Please read these Terms and Conditions (which include the Privacy Policy) carefully before using the Site. Accessing and using the Site indicates that you accept these Terms and Conditions and the Legal Notice regardless of whether or not you choose to register with us. These Terms and Conditions take effect immediately upon your use of the Site. If you do not accept these terms, please discontinue all further use of the Site. The Naked Tenant reserves the right to change these Terms and Conditions at any time, via postings on the Site, without further notice to you. It is your responsibility to review any changes to these Terms and Conditions. Your continued use of the Site after changes are posted constitutes your acceptance of these Terms and Conditions as modified by the posted changes. If these Terms and Conditions and the Privacy Policy are not accepted in full, you do not have permission to access the Site and therefore should immediately discontinue all further use of the Site.
The Site is intended solely for users ("Users") who are 18 (eighteen) years of age or older. Use of the Site by anyone under 18 is a violation of these Terms and Conditions. By using the Site, you warrant that you are 18 years of age or older.
In order to access some areas of the Site you will have to register and create a User Account. You must provide all the information required by the Site in order to create a User Account and all such information must be accurate and complete. You may not use another person's User Account without permission. When creating your User Account, you must provide accurate and complete information. The Naked Tenant may, without notice, cancel a User Account in case of breach of any of these Terms and Conditions or the Privacy Policy or in the event of prolonged non-use.
Except for your own User Content (defined below), material included in the Site may not be copied, adapted, reproduced, republished, downloaded, posted, broadcast or transmitted in any way except by way of your own personal non-commercial use or as permitted by the Copyright, Designs and Patents Act 1988. You hereby agree not to copy, adapt, alter or create any derivative work from any of the material included in the Site. You hereby agree to keep all copyright, trade mark other proprietary notices intact. Any use other than described above requires the Naked Tenant's prior written permission.
You agree to use the Site only for lawful purposes, and not to undertake behaviour which is unlawful, or which may harass and/ or could be construed as harassing any person. You may not misuse the Site (including, without limitation by hacking). You may not post, transmit or upload any User Content to the Site which is technically harmful (including without limitation, computer viruses, logic bombs, Trojan horses, worms, harmful components, corrupted data or other malicious software or harmful data).
The Site, and any User Content posted, transmitted and/or uploaded is not moderated. The Naked Tenant will not be responsible as author, editor or publisher of any User Content submitted to the Site and, to the fullest extent permitted by law, the Naked Tenant, its officers, directors and employees shall have no liability for any loss or damage arising from the use of User Content.
"User Content" is defined as any material which you or another User has uploaded to the Site including, but not limited to, photographs, text, profiles, videos, messages and notes.
You warrant that any User Content that you submit to the Site will meet the following requirements:
1. be your own original work, which you have the right to submit to the Site;
2. be accurate (where it states facts);
3. be genuinely held (where it states opinions);
4. be relevant;
5. not be insulting, obscene, blasphemous, threatening, indecent, racist, defamatory, discriminatory in any way, offensive or sexually explicit;
6. not be confidential information belonging to a third party;
7. not be in breach of any third party intellectual property and/or other rights;
8. not contain any advertising or promote any services or web links to other sites;
9. not infringe the rights of, or restrict or inhibit the use of enjoyment of the Site by any third party;
10. not be part of or encourage pyramid-selling or other soliciting schemes;
11. not be excessively long; and
12. not infringe any law or encourage any unlawful conduct.
  In the event of any infringement of this paragraph 8 by any User Content, the Naked Tenant reserves the right to amend and/or delete such User Content as it sees fit in its absolute discretion.
You agree to indemnify and keep indemnified the Naked Tenant, its officers, directors and employees against all claims, actions, proceedings, demands, obligations, liabilities, losses, costs (including all legal fees), charges, damages, fines, judgments, assessments, penalties, and other expenses whatsoever that may be incurred or suffered by the Naked Tenant as a result of any breach by you of the warranty contained in paragraph 8.

The Site and the Naked Tenant comply with the Data Protection Act 1998. Any personal details you submit via the Site will be collected and used in accordance with the Privacy Policy (as below).
By submitting User Content, you grant the Naked Tenant a perpetual, irrevocable, worldwide, royalty-free, non-exclusive, sub-licenseable and transferable licence to use, reproduce, modify and exercise all copyright and publicity rights (each a "Use") with respect to all or any part of such User Content and/or to incorporate it in other works in any media now known or later developed for the full term of any rights that may exist in such content; and you also waive any moral rights in your User Content for the purposes of its submission to and publication on the Site and the other Uses specified above. If you do not wish to grant such rights to the Site, you should not submit User Content to this Site. Apart from the above licence, the Naked Tenant will not assert any ownership or intellectual property rights over your User Content.
In no event will the Naked Tenant be liable for any damages suffered by you arising out of or in connection with any use of the Site (including but not limited to you uploading User Content to the Site) but nothing in these Terms and Conditions or the Site limits (or purports to limit) the Naked Tenant's liability for fraudulent misrepresentation or for death or personal injury resulting from its negligence.
The Site and its contents are provided in good faith, "as is", and the Naked Tenant makes no representation or warranty of any kind, whether express or implied, in respect of the Site or its provision, and specifically (but without limitation) makes no representation or warranty that the operation of the Site will be uninterrupted and/or error free, that defects will be corrected, or that the Site (or the server that makes it available) will be free of viruses or bugs. All material included on www.thenakedtenant.co.uk (the "Site") is provided for general information only and is not intended or made available as a substitute for detailed expert advice. The Naked Tenant shall not be liable to any person for the consequences of error or for any loss or damage that may arise from the use or reliance of any of the information contained in any of the material on the Site. It is in the nature of websites, that information published may not to be wholly up to date or relevant to your specific circumstances. You should verify information gained from the Site with appropriate expert advisors before relying on it. By using the Site you agree to be bound by our Terms and Conditions.
The Naked Tenant reserves the right to amend, suspend or terminate any services provided via the Site without prior notice.

Any opinions, recommendations or advice contained in the User Content are made by the User in question and do not represent those of the Naked Tenant, nor can they be deemed to be endorsed by the Naked Tenant.
In the event that any of these Terms and Conditions should be determined to be invalid or otherwise unenforceable, then to the extent to which that Term or Condition is invalid or unenforceable, it shall be deleted. The remaining Terms and Conditions shall be enforceable to the fullest extent permitted by law.

If you consider that any User Content is in breach of these Terms and Conditions and/or in any other way infringes your rights, you should notify the Naked Tenant as follows

The Naked Tenant will take such action in respect of such notice as it (in its absolute discretion) deems appropriate. The Naked Tenant reserves its right to immediately take down any User Content that it determines is in breach of these Terms and Conditions, at any time and without notice to the User.
If any User fails to abide by these Terms and Conditions, the User will be formally warned by email ("a Warning"). If a second Warning becomes necessary, the User's User Account may be terminated and the User may be permanently banned from using the Site.
The Site is deemed to be based solely in England and Wales. These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales. Disputes arising in relation to the website shall be exclusively subject to the jurisdiction of the courts of England and Wales.
